1. Contract Formation
A legally binding contract is formed when all of the following occur:
- The Artist (Simon Robin Stephens) reviews and accepts your commission request
- You pay the agreed deposit (25% or 50% as selected in your request)
- You accept these Terms & Conditions via the clickwrap agreement above
No contract exists until all three conditions are met.
2. Deposit Terms (Consumer Rights Act 2015 Compliant)
Deposit Options (25% or 50% - Your Choice):
- The deposit secures your booking slot and covers materials procurement and initial time investment
- The deposit is proportionate to the total commission value and reflects genuine pre-commencement costs
- 25% Deposit Option: Lower upfront cost, larger balance payment on completion
- 50% Deposit Option: Higher upfront commitment, smaller balance payment on completion
- If you cancel before work begins: A discretionary partial refund may be considered on a case-by-case basis
- If you cancel after work begins: The deposit is retained in full as it has been used for materials and labour
- If the Artist cancels: You will receive a full deposit refund within 14 days
- Deposit amounts are clearly communicated before payment is requested
3. Payment Terms
- Deposit: 25% or 50% of total commission value (as selected), payable upon acceptance of commission
- Final Balance: Remaining 75% or 50% (depending on deposit chosen) payable upon completion approval, before artwork dispatch
- Payment Methods: Secure payment via SumUp (card payments accepted)
- All prices quoted in British Pounds (GBP) and include UK VAT where applicable
4. Revisions & Changes
- Included Revisions: 1 revision opportunity included in base price (2 for large format commissions)
- Progress Updates: You'll receive progress photos during creation for early feedback
- Additional Revisions: £50 per additional revision request
- Major Changes: Significant changes to scope after work begins may require repricing
5. Timeline & Completion
- Estimated Timeline: Provided upon acceptance of commission (typically 6-12 weeks)
- Force Majeure: Timeline may be extended due to illness, emergency, or circumstances beyond reasonable control
- Progress Updates: Regular updates provided throughout the creation process
- Final completion date is an estimate, not a guarantee, unless specifically agreed in writing
6. Copyright & Intellectual Property
The Artist retains full copyright and intellectual property rights to all commissioned works.
- What you receive: The original physical artwork and the right to display it personally
- What you cannot do without permission: Reproduce, print, sell, license, or use commercially in any form
- Commercial Licensing: Available separately - requires additional fee and written agreement
- The Artist reserves the right to photograph artwork for portfolio, exhibition, and marketing purposes
7. Moral Rights (Copyright, Designs and Patents Act 1988)
- The Artist retains the right to be identified as the creator of the work
- The artwork must not be subjected to derogatory treatment
- The Artist's signature must not be removed or obscured
8. Delivery & Shipping
- All artworks shipped fully insured via tracked courier
- Shipping costs quoted separately and added to final balance
- Risk transfers to you upon delivery confirmation
- Free collection available from Carshalton, South London by arrangement
9. Quality & Satisfaction
- Every artwork is created with professional care using archival-quality materials
- Each piece includes a Certificate of Authenticity
- Watercolour is a unique medium - minor variations from digital proofs are inherent to the process
- Final artwork approval required before balance payment and dispatch
10. Limitation of Liability
- The Artist's liability is limited to the total commission value paid
- The Artist is not liable for indirect, consequential, or special damages
- Nothing in these terms limits liability for death, personal injury, fraud, or fraudulent misrepresentation
11. Data Protection (UK GDPR Compliant)
- Your personal data is processed in accordance with UK GDPR and our Privacy Policy
- Data collected: Name, email, phone, address, commission details, payment information
- Purpose: Commission fulfilment, communication, legal record-keeping
- Retention: 7 years for tax and legal compliance purposes
- Your rights: Access, correction, deletion (subject to legal retention requirements)
12. Dispute Resolution
- Any disputes will be resolved amicably through good-faith discussion first
- If unresolved, parties may use ADR (Alternative Dispute Resolution) services
- You may have access to the EU Online Dispute Resolution platform if applicable
13. Governing Law & Jurisdiction
These Terms & Conditions are governed by the laws of England and Wales.
Any legal disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Consumer Rights
As a UK consumer, you have statutory rights under the Consumer Rights Act 2015. These Terms do not affect those statutory rights.
This is a bespoke service contract - standard 14-day cooling-off period does not apply as work begins immediately upon deposit payment.
15. Entire Agreement
These Terms, together with your accepted commission request and quote, constitute the entire agreement between you and the Artist.
